TeamoRouter Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Teamo HK Limited ("Teamo", "we", "us"), the operator of teamorouter.com, api.teamorouter.com, and the Teamo desktop client (together, the "Service"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility and accounts

You must be at least 18 years old (or the age of majority where you live) to use the Service. If you use the Service on behalf of a company or other organization, you represent that you are authorized to bind that organization, and "you" refers to it.

You are responsible for the accuracy of your account information and for keeping your login credentials and API keys confidential. All usage that occurs under your account or API keys is attributed to you. If you believe a key has been compromised, revoke it in the dashboard and contact us immediately. We may suspend keys or accounts when we detect suspected abuse or compromise.

2. The Service

TeamoRouter is a routing, metering, and billing layer for large language models operated by third parties (including Anthropic, OpenAI, Google, DeepSeek, and Zhipu, among others). We route your API requests to official provider APIs or authorized distribution channels, monitor channel quality, and bill your usage against your prepaid balance.

We are not the provider of the underlying models. Model availability, capabilities, context limits, pricing, and discounts depend on upstream providers and market conditions and may change at any time without notice. The price and discount applied to a request are those in effect at the time the request is processed, as shown in the live pricing catalog.

Enterprise plans, SLAs, and invoicing terms may be governed by a separate written agreement, which prevails over these Terms to the extent of any conflict.

3. Credits, payments, and refunds

The Service is prepaid. Your wallet balance is denominated in US dollars (USD). You can purchase credits through the payment methods shown in the product. Payments may be collected on our behalf by our affiliated companies, so the entity named on your payment receipt may differ from us. We do not store full payment card numbers. Where a payment page displays a local-currency price, that is a presentment convenience; your wallet is credited with the USD amount shown at purchase.

Minimum purchase amounts are shown in the product. Purchased credits do not expire. Promotional or bonus credits (for example first-purchase bonuses or referral rewards) have no cash value, are non-refundable, may be subject to additional campaign rules, and may expire or be withdrawn if obtained in violation of campaign rules.

Credits consumed by completed API requests are non-refundable. If you would like a refund of unused purchased credits, contact us at feedback@floatmiracle.com; approved refunds are issued to the original payment method and may be reduced by non-refundable payment-processing fees. You are responsible for any taxes applicable to your purchases.

4. Acceptable use

You agree to:

  • use the Service only in compliance with applicable laws, including export-control and sanctions laws;
  • comply with the usage policies of the upstream model providers whose models you access through the Service (including the Anthropic Usage Policy, OpenAI Usage Policies, and Google's Generative AI Prohibited Use Policy);
  • not attempt to probe, disrupt, or circumvent the Service's security, rate limits, metering, or billing;
  • not resell, sublicense, or provide the Service to third parties as a competing offering without our prior written consent (internal use within your organization, including via enterprise orgs and shared API keys you control, is permitted);
  • not use the Service to infringe the rights of others or to develop, train, or improve a competing foundation model where prohibited by the upstream provider's terms.

We may throttle, suspend, or terminate access that violates this section.

5. Model outputs

Outputs are generated by third-party models. We do not review them and make no guarantee that they are accurate, complete, or fit for any purpose. You are responsible for evaluating outputs before relying on them. Your rights in inputs and outputs are governed by the applicable upstream provider's terms. We do not use your API inputs or outputs to train models.

6. Availability, suspension, and termination

We aim to keep the Service highly available and route around degraded channels, but the Service is provided without a general uptime guarantee (enterprise SLAs are agreed separately). We may modify or discontinue features with reasonable notice where practicable.

We may suspend or terminate your access for material breach of these Terms, fraud or abuse, non-payment, or where required by law. You may stop using the Service and close your account at any time. On termination without cause by us, we will refund your unused purchased credits; on termination for fraud or material breach, unused promotional credits are forfeited and refunds of purchased credits are at our reasonable discretion.

7. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service or any model will be uninterrupted, error-free, or continue to be available.

8. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Our total aggregate liability arising out of or relating to the Service is limited to the amounts you paid us in the 12 months before the event giving rise to liability. Nothing in these Terms limits liability that cannot be limited by law.

9. Indemnification

You will defend and indemnify us against third-party claims arising from your content, your use of the Service in violation of these Terms or upstream provider policies, or your violation of law.

10. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced on the website or by email before they take effect. Continued use of the Service after the effective date constitutes acceptance.

11. Miscellaneous

If any provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger or sale. These Terms and any separate enterprise agreement are the entire agreement between us regarding the Service.
